Terms and conditions

These terms set out how we work together. We have written them in plain language so you know exactly what to expect from IdeaSeaker, and what we expect from you.

In short: we agree the scope and price before any work begins, you own the work you pay for, SEO has a six-month minimum because results take time to build, and we are always honest about what marketing can and cannot guarantee.

01About these terms

These terms and conditions apply to every service provided by IdeaSeaker ("we", "us" or "our") to you, the client ("you" or "your"), and to your use of our website. By accepting a proposal, signing an agreement, paying an invoice or using our website, you agree to these terms.

If a signed proposal or service agreement contains terms that differ from these, the proposal or agreement will apply for that project.

02Our services

We provide digital marketing services including search engine optimisation, PPC and Google Ads management, social media marketing, web design and development, Google Business Profile optimisation, and branding and logo design. The exact scope, deliverables and timelines for your project will be set out in your proposal.

Any work outside the agreed scope will be quoted separately and only started with your approval.

03Proposals and agreements

Every engagement starts with a free consultation, followed by a written proposal. Proposals are valid for 30 days. Your agreement with us begins when you accept the proposal in writing (including by email) or pay the first invoice, whichever happens first.

04Fees and payment

  • Monthly retainers are invoiced in advance at the start of each billing month.
  • Project work, such as websites and branding, usually requires a 50% deposit before work begins, with the balance due on completion and before launch or file handover.
  • Invoices are payable within 7 days of the invoice date unless agreed otherwise.
  • We may pause work on accounts with overdue invoices until payment is received.
  • Prices exclude VAT or other applicable taxes, which will be added where required.

05Minimum term and cancellation

SEO has a six-month minimum because meaningful, lasting results need time to build. Either party may end an agreement immediately if the other seriously breaches these terms and does not fix the breach within 14 days of being asked to.

06Your responsibilities

  • Provide accurate information, content, approvals and account access on time.
  • Make sure any material you give us (text, images, logos) is yours to use and does not infringe anyone else's rights.
  • Keep your own backups of your website and data.
  • Tell us promptly about any changes to your business that affect the work.

Delays in receiving what we need from you may affect timelines, and do not pause ongoing retainer fees.

07Results and performance

We work hard to grow your visibility, leads and revenue, and we are honest about timelines from day one. However, search engines and advertising platforms control their own algorithms and policies. For that reason we cannot guarantee specific rankings, traffic, leads or sales, and no reputable agency can.

What we do guarantee is transparent reporting, proven methods that follow search engine guidelines, and a team that keeps refining your strategy based on real data.

08Third-party platforms and ad spend

Advertising spend paid to platforms such as Google, Meta or Microsoft is separate from our management fees and is paid by you directly, unless agreed otherwise. We are not responsible for platform outages, policy changes, account suspensions or charges made by third parties, although we will always help you resolve them.

09Intellectual property

Once you have paid in full, you own the final deliverables we create specifically for you, such as your website design, logo, written content and ad creative. Ad accounts and analytics properties are set up in your name wherever possible.

We keep ownership of our own tools, templates, methods and know-how. Unless you ask us not to, we may show completed work in our portfolio and case studies.

10Confidentiality

Both parties agree to keep each other's confidential information private and to use it only for the purpose of the work. This includes business plans, performance data, pricing and login details. This obligation continues after our agreement ends. We handle personal data in line with our privacy policy.

11Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Otherwise, we are not liable for indirect or consequential losses, such as loss of profit, revenue or data. Our total liability under any agreement is limited to the fees you paid us in the 3 months before the claim arose.

12Using our website

The content on this website is for general information only and may change without notice. You may not copy, reproduce or misuse any part of it without our permission. Links to other websites are provided for convenience, and we are not responsible for their content.

13Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction. Clients served by our US or UAE offices may receive a service agreement under local law, which will say so clearly.

14Changes to these terms

We may update these terms from time to time. The latest version will always be on this page. Changes will not affect agreements already in progress unless you agree to them.
